These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CookIn LLC (“CookIn,” “we,” “us,” or “our”), governing your access to and use of the CookIn mobile application, website, and related services (collectively, the “App” or “Services”). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App. Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

1. Eligibility

You must be at least 13 years of age to create an account or use the App. By using the Services, you represent and warrant that you are 13 or older and capable of entering into a binding agreement with CookIn. Individuals under 13 are prohibited from using the App.

2. Account Registration and Responsibilities

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of your account information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You may delete your account at any time through the App or by contacting us at info@cookin.app. CookIn reserves the right to suspend or terminate any account at its discretion, including for violations of these Terms or applicable laws.

3. User Conduct and Community Standards

You agree to use the App only for lawful purposes and in compliance with these Terms, our Privacy Policy, and any applicable community guidelines. You may not, under any circumstances, post, upload, or transmit any content that is unlawful, harassing, defamatory, obscene, hateful, or otherwise inappropriate; impersonate another person or entity; use the App to send spam, solicitations, or fraudulent content; upload content that infringes any third-party intellectual property or privacy rights; or interfere with or disrupt the operation of the App or any user’s experience. You may not access or use the App through automated means or collect data from other users without their consent. CookIn maintains a zero-tolerance policy for harassment, hate speech, sexually explicit content, and illegal activity. We reserve the right to remove any content and suspend or terminate users who violate these rules.

4. User-Generated Content

A. Ownership: Users retain ownership of the content they create and post on CookIn (“User Content”), including photos, videos, text, reviews, and other materials. B. License to CookIn: By posting, uploading, or otherwise submitting User Content, you grant CookIn a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to host, use, distribute, reproduce, modify, adapt, publicly display, and otherwise exploit such content in connection with operating, marketing, and promoting the App and Services. This license includes the right to use your content for promotional materials, social media marketing, and advertising purposes, in accordance with our Privacy Policy. C. Content Moderation: CookIn reserves the right to review, moderate, remove, or restrict any User Content at its discretion, including content that violates these Terms, our Community Guidelines, or applicable law. D. No Obligation to Retain Content: CookIn has no obligation to retain any content you post. Content may be deleted, archived, or removed at any time, consistent with our Privacy Policy.

5. Messaging and User Interactions

The App includes features that allow users to communicate directly through in-app messaging. You agree to use these features responsibly and lawfully. CookIn may monitor or review message content as necessary to ensure user safety, enforce these Terms, or comply with legal obligations. Message data is stored securely and automatically deleted after 60 days, unless required for investigation or legal purposes. You may block or report users who engage in abusive, threatening, or otherwise inappropriate behavior. CookIn may take disciplinary action, including suspension or termination of accounts, when necessary to protect users or enforce platform integrity. CookIn is not a platform for emergency communication or crisis response. If you are in immediate danger or require emergency assistance, contact local emergency services.

6. Business Accounts and Deals

Restaurants and other businesses may register as business users to post deals, promotions, or listings through the App (“Business Content”). Business users are solely responsible for the accuracy, legality, and fulfillment of any deals or promotions they post. CookIn does not guarantee or verify the accuracy of business listings, nor is it liable for unfulfilled or inaccurate offers. By posting Business Content, business users grant CookIn the same license described in Section 4(B). Independent Parties:  Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, or employment relationship between CookIn and any user, including business account holders.

7. Future Monetization

The App currently does not include in-app purchases or payment processing features. CookIn reserves the right to introduce paid features, subscriptions, or transaction-based services in the future, which will be subject to additional terms.

8. Intellectual Property Rights

All content and materials provided through the App, including text, graphics, designs, trademarks, logos, and software, are the property of CookIn LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The “CookIn” name, logo, and design are trademarks of CookIn LLC. You may not use these trademarks or any derivative works without prior written consent.

9. Communications and Notifications

By creating an account, you consent to receive communications from CookIn, including service announcements, updates, and promotional materials, via email, push notifications, or in-app messages. You may opt out of promotional communications at any time through your account settings or by contacting us directly.

10. Termination

CookIn reserves the right, at its sole discretion, to suspend or terminate your access to the App or Services at any time and without prior notice, including for violation of these Terms or applicable law. Upon termination, your right to use the App will immediately cease. You may terminate your account at any time by following the account deletion process within the App.

11. Disclaimers and Limitation of Liability

The App and Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. CookIn makes no representation or warranty that the App will be error-free, secure, or uninterrupted. To the maximum extent permitted by law, CookIn LLC disclaims all liability for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, User Content, or Business Content, including but not limited to unfulfilled deals, user interactions, or third-party content. Your use of the App is at your own risk.

12. Indemnification

You agree to defend, indemnify, and hold harmless CookIn LLC, its affiliates, employees, officers, and agents from and against any claims, damages, liabilities, and expenses arising out of your use of the App, your content, or your violation of these Terms or any applicable laws.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the App shall be resolved by binding arbitration administered in California under the rules of the American Arbitration Association. Each party shall bear its own costs, and arbitration shall be conducted individually, not as a class action.

14. Changes to These Terms

CookIn may update these Terms from time to time. The “Last Updated” date will be revised accordingly. Continued use of the App following such updates constitutes your acceptance of the revised Terms.
